Welcome to Egregora AI. By accessing or using our platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users, including visitors, registered users, and subscribers. We reserve the right to modify these Terms at any time, and we will notify you of material changes.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access
• Be at least 13 years old (or 16 in the EEA)

3. Use of Service

3.1 Permitted Use

You may use the Service to:

• Generate images, videos, and audio using AI models
• Create and manage presets and workflows
• Access your generation history and analytics
• Purchase credits and manage subscriptions

3.2 Prohibited Use

You agree NOT to:

• Generate illegal, harmful, or offensive content
• Violate intellectual property rights of others
• Attempt to reverse-engineer or exploit the Service
• Use automated systems to access the Service (bots, scrapers)
• Share your account credentials with others
• Circumvent usage limits or payment systems
• Generate deepfakes or misleading content without disclosure
• Use the Service for spam or unsolicited commercial messages

4. Credits and Payments

4.1 Credit System

Our Service operates on a credit-based system. Each AI generation consumes credits based on the model and parameters used. Credit costs are displayed before generation.

4.2 Subscriptions

• Subscription credits renew monthly and do not roll over
• Subscriptions automatically renew unless canceled
• You can cancel anytime; cancellation takes effect at the end of the billing period
• No refunds for partial months

4.3 Credit Packages

• One-time credit purchases never expire
• Credits are non-transferable and non-refundable

4.4 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all applicable fees.

4.5 Refund Policy

Refunds are handled on a case-by-case basis. Contact egregoralabs@gmail.com with refund requests. We do not refund credits for failed generations due to technical issues.

5. Intellectual Property

5.1 Your Content

You retain ownership of content you create using the Service ("User Content"). By using the Service, you grant us a limited license to:

• Store and display your User Content
• Process your prompts and parameters through AI models
• Use anonymized data for service improvement and analytics

5.2 Our Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Egregora Labs and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute our intellectual property without written permission.

5.3 Third-Party Models

AI models are provided by third parties (Replicate, Runpod, etc.). Model outputs may be subject to additional terms from these providers. You are responsible for complying with applicable licensing terms.

6. Content Responsibility

You are solely responsible for the content you generate and share. We do not pre-screen content, but we reserve the right to:

• Remove content that violates these Terms
• Suspend or terminate accounts for violations
• Report illegal content to authorities
• Implement automated filters for prohibited content

7. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

8. Service Availability

We strive to maintain high availability, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Third-party API limitations
• Force majeure events

We are not liable for any losses resulting from service interruptions.

9. Termination

9.1 By You

You may terminate your account at any time through the Account page. Upon termination:

• Unused subscription credits will be forfeited
• One-time credit package credits will be forfeited
• Your data will be deleted within 30 days

9.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Generate prohibited content repeatedly
• Fail to pay applicable fees

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of AI-generated content
• Uninterrupted or error-free operation
• Security against unauthorized access

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGREGORA LABS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Third-party content or actions

Our total liability shall not exceed the amount you paid in the 12 months prior to the event giving rise to liability, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Egregora Labs from any claims, damages, or expenses arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

13. Dispute Resolution

13.1 Informal Resolution

13.2 Governing Law

These Terms are governed by the laws of the jurisdiction where Egregora Labs operates, without regard to conflict of law principles.

13.3 Arbitration

Any disputes shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class-action lawsuits.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on the Service
• Updated "Last Updated" date on this page

Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Egregora Labs.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

15.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.
